Terms of Service

1. Acceptance of Terms

By accessing or using the Nyvra Hospital Platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a hospital, clinic, or other organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Nyvra provides a B2B SaaS platform for hospital and clinic operations, including appointment management, connected care workflows, doctor onboarding, patient discovery, and health record management. The Service is intended for use by healthcare organisations and their authorised staff.

3. Account Registration

You must register for an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at contact@nyvra.life if you suspect unauthorised access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable healthcare regulations
• Upload or transmit false, misleading, or fraudulent patient or clinical data
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code
• Resell or sublicense access to the Service without written permission

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you submit to the Service. By submitting data, you grant Nyvra a limited licence to process that data solely to provide the Service. We implement row-level security (RLS) to ensure data isolation between organisations.

6. Healthcare Compliance

You are solely responsible for ensuring your use of the Service complies with all applicable healthcare laws and regulations in your jurisdiction, including but not limited to data protection laws governing patient health information. Nyvra does not provide legal or compliance advice.

7. Subscription and Payment

The Free plan is available at no charge subject to usage limits described on our pricing page. Premium plan pricing is agreed upon separately. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days’ notice.

8. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors outside our reasonable control.

9. Intellectual Property

The Service, including all software, design, and content, is owned by Nyvra and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond the limited licence to use the Service.

10. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we will handle your data in accordance with our Privacy Policy and applicable law.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

12. Limitation of Liability

To the maximum extent permitted by law, Nyvra shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
